These Partner Program Terms (the "Partner Terms") are an agreement between you ("Partner", "you") and ODD Media LLC, doing business as MapsHarvest ("MapsHarvest", "we"). They govern your participation in the MapsHarvest Partner Program (the "Program"), under which you earn cash commissions for customers you refer. By applying to or participating in the Program you accept these Partner Terms and our Terms of Service, which apply to you as a user of the Service; if the two conflict, these Partner Terms prevail for Program matters.
1.1 Eligibility. You must be at least 18, able to enter a binding contract, hold a MapsHarvest account in good standing, and not be located in or a resident of a country subject to comprehensive sanctions. Businesses may join through an authorised representative.
1.2 Application and approval. Apply through the Partners page in your dashboard. Approval may be immediate; we may nonetheless review any partner account at any time and may decline, suspend or remove partners whose promotion methods, audience or conduct we consider unsuitable, at our reasonable discretion.
1.3 Your link and code. On approval you receive a unique partner code and referral link (using the pref parameter). Only referrals made through your link or code are attributed to you.
1.4 Independent status. You are an independent contractor. Nothing in these Partner Terms creates an employment, agency, partnership or joint-venture relationship, and you may not make commitments on our behalf.
2.1 A "Qualified Referral" is a new MapsHarvest customer who (a) creates their account after clicking your link or by entering your code at signup, within 30 days of the click; (b) was not already a MapsHarvest user, trial user or lead known to us; (c) is not you, your business, your employee or household member, or an account you control; and (d) makes a payment that is not refunded or charged back.
2.2 One partner per customer. A customer is attributed to the partner whose link or code was used when the account was created. Attribution is based on our records, which are final except in the case of manifest error.
2.3 No double dipping. A customer cannot be both a partner referral and a customer-referral-credit referral; the partner attribution prevails. Partners cannot earn commission on their own purchases.
3.1 Rate. You earn a commission on every subscription payment and credit top-up payment made by your Qualified Referrals, for as long as they remain paying customers. The base rate is 15%. Your rate increases automatically with the number of your active paying referrals, measured at the time each commission is calculated:

3.2 Base. Commission is calculated on the amount we actually receive from the customer, excluding taxes (VAT, GST, sales tax), payment-processing and currency fees, discounts and credits applied, and any amount later refunded or charged back. No commission is earned on free plans, free credits, trial periods that do not convert, or Enterprise / custom agreements negotiated separately, unless we agree otherwise in writing.
3.3 Pending and payable. Each commission is recorded as pending when the customer's payment succeeds and becomes payable 30 days later, provided the payment has not been refunded, disputed or reversed in that period (the "Clawback Window").
3.4 Clawbacks. If a payment is refunded, charged back or reversed, or if we determine that a referral was not a Qualified Referral or was obtained in breach of these Partner Terms, the related commission is cancelled. If it has already been paid, we may deduct it from future payouts or, where there are none, ask you to repay it within 30 days.
3.5 Changes to rates. We may change commission rates, tiers or the commission base with at least 30 days' notice by email or in your partner dashboard. Changes apply to payments received after the effective date and never reduce commissions already earned.
4.1 Schedule and minimum. We pay payable commissions monthly, within 15 days after the end of each calendar month, provided your payable balance is at least USD 50. Smaller balances roll over.
4.2 Method. Payouts are made in US dollars by bank transfer to the payout details in your partner dashboard. You are responsible for keeping them accurate and for any fees your bank or payout provider charges you.
4.3 Tax documentation. Before your first payout you must provide the tax documentation we request — for US persons, IRS Form W-9; for non-US persons, Form W-8BEN or W-8BEN-E — and any VAT or GST registration details. We may withhold payouts until we receive complete documentation, and we may withhold tax where the law requires. Commissions are exclusive of VAT or GST; if you are registered, invoice us or agree to self-billing as we instruct.
4.4 Your taxes. You are responsible for all taxes on your commissions. We will provide the annual statements the law requires (for example Form 1099-NEC where applicable).
4.5 Unclaimed balances. If we cannot pay you because your payout details are missing or invalid and you do not correct them within 12 months of our notice, the balance is forfeited.
5.1 Permitted. You may promote MapsHarvest on your own websites, newsletters, videos, courses, social media accounts and to your own clients and audience, using the marketing materials we provide or your own honest descriptions.
5.2 Disclosure. You must clearly and conspicuously disclose that you earn a commission from MapsHarvest wherever you promote us, in a way that complies with the US FTC Endorsement Guides and the rules that apply in your country (for example the UK CAP Code and CMA guidance, and the EU Unfair Commercial Practices Directive). A disclosure such as "I earn a commission if you sign up through my link" placed before the link, or a clear #ad / #affiliate label on social posts, is acceptable; a disclosure hidden in a footer, behind a "more" button or only in a profile bio is not.
5.3 Prohibited. You must not:
5.4 Our marks. We grant you a limited, revocable, non-exclusive licence to use the MapsHarvest name and logo solely to identify and promote the Program in accordance with these Partner Terms and any brand guidelines we publish. All goodwill inures to us. The licence ends when your participation ends.
5.5 Data. You may not collect, store or use the personal data of referred customers on our behalf, and we will not share their personal details with you. Your partner dashboard shows aggregated statistics only. If you collect personal data in your own promotion (for example newsletter subscribers), you are the controller of that data and responsible for it.
6.1 These Partner Terms apply from your approval until terminated. Either party may terminate at any time by email or through the dashboard, with immediate effect.
6.2 We may suspend or terminate your participation immediately, and withhold or cancel commissions, if you breach these Partner Terms or our Terms of Service, if your account is suspended, or if we reasonably suspect fraud or abuse. We may also end the Program as a whole with 30 days' notice.
6.3 After termination: commissions earned before termination in compliance with these Partner Terms are paid on the normal schedule once the Clawback Window has run, and you must stop using our marks and links. If you terminate, or we terminate for your breach, fraud or self-referral, no further commissions accrue (and commissions are forfeited where termination results from fraud, self-referral or a material breach of Section 5). If we terminate without such cause, or end the Program, commissions on customers you validly referred before termination continue to accrue and be paid for as long as those customers remain paying subscribers.
7.1 Confidentiality. Commission rates, dashboard data and non-public information about the Program or our business are confidential; use them only for the Program.
7.2 Records and audit. Our records determine referrals, payments and commissions. We may ask you to explain your traffic sources and promotion methods and may withhold payment while we investigate suspicious activity.
7.3 Disclaimers and liability. The Program and our tracking are provided as is. We do not guarantee that tracking will be uninterrupted or that any referral will convert. Our total liability to you under these Partner Terms is limited to the commissions payable to you in the 12 months before the claim arose, and we are not liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.
7.4 Indemnity. You will indemnify us against claims, losses and costs arising from your promotion methods, your breach of these Partner Terms, or your violation of law.
7.5 Changes. We may update these Partner Terms with 30 days' notice by email or in the dashboard, except where changes are required by law or are in your favour, in which case they may take effect immediately. Continued participation after the effective date is acceptance; if you do not agree, terminate before the change takes effect and you will be paid what you have earned.
7.6 Governing law and disputes. Section 16 of our Terms of Service (governing law, informal resolution, arbitration for US-based partners, courts) applies to these Partner Terms, except that the 30-day arbitration opt-out window in Terms §16.6 runs, for Program disputes, from the date you accept these Partner Terms.
7.7 Assignment; entire agreement; severability. You may not assign these Partner Terms. They, together with the Terms of Service and any brand guidelines, are the entire agreement about the Program. If any provision is unenforceable, the rest remains in force.
